Spindle Terms & Conditions

1. Introduction

A composable, low-code platform purpose-built for insurers, investment firms, and retirement providers. Spindle unifies engagement, integration, and policy administration into one seamless ecosystem — enabling organisations to innovate faster, reduce costs, and minimise transformation risk.

2. Definitions

  • Platform” refers to the Spindle SaaS solution, including all modules, integration, and services.
  • Customer” or “You” refers to the organization or individual using Spindle.
  • Data” refers to any information, content, or materials processed through the platform.

3. Use of the Platform

  • You must use the platform in compliance with applicable laws and regulations.
  • Access credentials are confidential and may not be shared outside your organisation without authorisation.

4. Service Availability

  • Spindle is committed to providing high availability in line with agreed SLAs.
  • Scheduled maintenance will be communicated in advance.
  • We are not liable for downtime caused by factors outside our control (e.g. internet failures, third-party outages).

5. Data Protection & Compliance

  • Spindle complies with ISO 27001, SOC 2, HIPAA, and GDPR standards where applicable.
  • Customer data remains the property of the Customer.
  • We implement industry best practices for data security, encryption, and access control.

6. Fees & Payment

  • Subscription fees are billed in accordance with your contract.
  • Late payments may result in suspension of service until payment is received.
  • All fees are exclusive of applicable taxes.

7. Intellectual Property

  • All intellectual property rights in Spindle, including its modules, APIs, and integration, remain with Spindle Ltd.
  • Customers retain all rights to their own data.

8. Confidentiality

  • Both parties agree to keep confidential information secure and not disclose it to third parties, except as required by law or with written consent.

9. Limitation of Liability

  • Spindle is not liable for indirect, incidental, or consequential damages arising from use of the platform.
  • Our total liability will not exceed the fees paid by the Customer in the 12 months preceding the claim.

10. Termination

  • Either party may terminate the agreement with written notice in line with contractual obligations.
  • Upon termination, Customer data will be returned or securely deleted in accordance with our Data Retention Policy.

11. Changes to Terms

  • We may update these Terms from time to time. Customers will be notified of material changes, and continued use of the platform constitutes acceptance of the updated Terms.

12. Governing Law

  • These Terms are governed by the laws of South African jurisdiction. Any disputes will be subject to the exclusive jurisdiction of the courts in South Africa.
